Terms and Conditions
Effective Date: January 1, 2025
1. Definitions
- “Platform” refers to Basemart.ng, an online multi-vendor eCommerce marketplace.
- “User” includes any individual who registers or interacts with the Platform, including Buyers and Vendors.
- “Vendor” is any User approved to list, sell or manage products via the Vendor Dashboard.
- “Buyer” is any User who purchases products through the Platform.
- “Escrow” means a temporary holding of buyer payment until the order is marked as completed or refunded per policy.
- “Wallet” means the digital balance system that allows Users to deposit, withdraw or make transactions within the Platform.
- “Order” refers to a confirmed purchase made by a Buyer via the Platform.
- “Admin” refers to the operator or authorized controller of the Platform.
2. Acceptance
By accessing and using Basemart.ng, Users agree to be legally bound by these Terms and Conditions and all applicable laws of the Federal Republic of Nigeria.
3. Account Registration
Users must be 18 years or older. All personal data must be accurate and verifiable. By creating an account, Users consent to the use of their data in compliance with the Nigeria Data Protection Regulation (NDPR) 2019.
4. Transactions, Orders, and Wallets
- Buyers may pay for products using their Wallets or other supported payment gateways.
- Funds for an Order are held in Escrow until delivery is confirmed or a refund is initiated.
- Vendors shall only receive payment after confirmation of delivery or automatic release via the Escrow system.
- All transactions are recorded and Users may view their Wallet and Order history from their dashboards.
5. Refunds and Disputes
Buyers are entitled to request a refund within 2 days of delivery if:
- The product is defective, significantly different from its description, or undelivered.
- Refunds may be issued directly to the Wallet or original payment method.
- Unconfirmed orders are automatically refunded within 7 days by the Platform's automated process.
6. Vendor Obligations
- Vendors must ensure timely delivery and accurate product listings.
- Delivery is the sole responsibility of the Vendor.
- Vendors are strictly prohibited from using Buyer data for marketing, advertising, or any unrelated purposes. Violation of this clause will result in suspension or permanent deactivation of the Vendor account.
7. Pricing and Taxes
Vendors are responsible for setting product prices and ensuring compliance with applicable tax obligations under the Value Added Tax Act, Cap V1, LFN 2004.
8. Verification and Compliance
- Vendors may apply for account verification by uploading valid identity documents (NIN, Passport, etc.) and paying a non-refundable verification fee via Wallet.
- Once approved, verified vendors receive a verification badge on all product listings.
- Vendors who are rejected may reapply only if explicitly invited by Admin.
9. Admin Powers
The Admin reserves the right to:
- Bypass any system logic for compliance, dispute resolution, or consumer satisfaction.
- Suspend or terminate accounts violating these Terms or Nigerian laws.
- Update these Terms without prior notice. Continued use of the Platform implies acceptance of changes.
10. Liability and Governing Law
Basemart.ng operates as an intermediary and is not liable for losses arising from Vendor-buyer transactions. This agreement is governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved under the jurisdiction of Nigerian courts.
